1. Job Title : Legal and Governance Manager
Reports to : Chief Legal and Corporate Secretary

JOB PURPOSE

Under the direct supervision of the Chief Legal Officer and Corporate Secretary, the incumbent is responsible for effective and efficient management of the legal and governance function, provision of legal advisory services and corporate secretarial services.

DUTIES AND RESPONSIBILITIES

Legal function

a) Manages legal risk through vetting of commercial contracts entered into by the bank and the 3rd parties;

b) Periodically (at least on annual basis) verifies and reviews Legal Documents such as Loan Agreements, 3rd Party Contracts, Collateral Forms, Forms used at Branch network and by Support functions (Human Resource, Finance, Operations, Assets & Logistics, Credit, Operations) in order to ensure that they are always relevant;

c) Ensures that changes are effected in the Legal Documents whenever there are changes to legislation that may impact the enforceability of documentation;

d) Where necessary, obtains external opinion (from the Bank’s approved external legal counsel), and advises management accordingly;

e) Reviews and/or updates external Legal opinion whenever there is new legislation in order to ensure that they remain valid;

f) Appraises and advises management on legal implications of internal policies and procedures;

g) Ensures that legal risk measures are in place to manage and mitigate the Bank’s/LPB’s risks;

h) Assesses progress of outstanding litigation and liaises with and manages external lawyers.

Corporate secretarial
Assists the Corporate Secretary with:
a) Board meetings:
 Sets agenda with the direction of the managing director;
 Compiles and circulates papers to directors 7 days prior to meetings;
 Arranges/co-ordinates the board meeting;
 Takes minutes and furnishes the same 10 days after the meeting.

b) Ensures adherence with the Company’s Articles of Association;

c) Advices the Board of Directors on their directorial and governance obligations and responsibilities;

d) Corporate governance:
 Prepares and reviews charters for Board Committees;
 Writes briefing papers to the Committees;
 Arranges meetings for the Committees;
 Takes minutes in the Committees’ meetings and produces the same within 7 days of the meeting.

e) Ensures Board / Committees are evaluated annually;

f) Advices the Board of Directors on their directorial and governance obligations and responsibilities.

EDUCATIONAL REQUIREMENTS

• LLB with five (5) years’ experience of which two (2) year is at managerial level in Legal and Governance or related field;
• CSSA qualification or any Corporate Governance related qualification desirable.
