Job description

Job purpose

To assume full responsibility and accountability for the in-country Legal, Risk and Compliance function, including the administration of Risk governance documents (i.e. policies, procedures, mandates and the like), fulfilling a Risk governance advisory service, providing assurance on the effectiveness of the Risk governance architecture as well as assisting in Regulatory Interaction (where required). Uphold the ethical integrity of the organization, ensure that business activities are conducted using a regulatory framework and also carry out the risk management process by thorough planning of business and implementing the policies within the organization.

Key responsibilities

Legal and Compliance (including Company Secretary)

  • Facilitate the convening of meetings of LLL Board and its committees.
  • Develop board meeting agendas and ensure that board packs and papers are circulated on time.
  • Take minutes of board meetings and its sub-committees
  • Prepare statutory returns to the regulators; and preparing resolutions for the company

Tracking of the actions arising (if any) from the regulatory submissions

  • Maintaining a register of all the regulatory interactions
  • Compiling and maintaining a register of the status of impending legislation which may impact the business and together with support from Liberty Africa Insurance (LAI) Legal and Compliance, conducting an impact analysis and advising the business on pragmatic solutions to meet these proposed and potential legislative requirements
  • Attend to shareholder’s queries
  • Overall responsibility for the formulation, implementation and maintenance of the compliance function; and primarily liaison person with the regulators
  • Liaising with LAI- Implementation of the compliance framework; compiling the compliance risk management plans (CRMPs) for high and medium rated legislation.
  • Conducting compliance monitoring in accordance with the approved plan; and the reporting of regulatory breaches
  • Compiling of the compliance reports for the company in cooperation with LAI compliance
  • Supporting compliance projects (e.g. Anti-Money laundering project) implementation for the business
  • Facilitate staff training on compliance matters

Risk Management

  • Responsible for the implementation of the risk management framework
  • Facilitate the identification and assessment of risks across the business
  • Development and updating of risk registers
  • Ensure that controls are in place to mitigate the identified risks
  • Compile risk reports for both in-country and LAI reporting
  • Ensure the timely closure of all internal and external audit findings; Track audit findings monthly to ensure that due dates are met.
  • Lead the Business Continuity Management initiatives for the business
  • Conduct risk management training for all staff
  • Assist in the Group Forensic Team in conducting fraud investigations

Qualifications and Experience

  • Degree/Postgraduate degree in Commerce or Risk Management or LLB.
  • A minimum of 5 years’ experience in the financial sector preferably in managerial position
  • Knowledge and understanding of the regulatory environment governing financial institutions in Lesotho.
  • A qualification in Risk and Compliance will be an added advantage

  • Thorough conceptual and practical knowledge of best practice in Risk type Standards, Policies and Procedures.
  • Has a sense of urgency about solving problems and takes appropriate and timeous decisions / action to achieve outcomes.
  • Ability to proactively anticipate risk and put plans in place to avoid/manage risk

  • Able to weigh things up quickly and take the initiative within limits of authority.

Excellent verbal and written communication. Presentation skills is a must have.
