Vacancy: Board Member
Letshego Financial Services Lesotho is seeking a highly qualified and experienced individual to join the organisation as a Board Member. This role is responsible for ensuring effective governance, compliance, strategic oversight, and risk management in alignment with the company’s mission and operational objectives.
Main Purpose
To ensure the company operates in compliance with all laws and regulations, uphold fiduciary duties, and provide counsel on strategic decisions. The Board Member will offer oversight in governance, legal risk, or technology risk—depending on expertise.
Key Responsibilities
Governance, Legal and Strategic Oversight (Option 1)
• Legal and fiduciary oversight: Ensure the company meets all legal and regulatory requirements, manage conflicts of interest, and protect the company’s assets.
• Risk management: Identify, assess, and mitigate legal, financial, and reputational risks.
• Governance framework: Establish and monitor internal governance policies, processes, and controls guiding executive behaviour and decision-making.
• Strategic guidance: Advise on legal implications of major strategic decisions, including mergers, acquisitions, and contracts.
• Compliance monitoring: Oversee compliance with laws and regulations, ensuring reporting processes are in place.
• CEO and executive oversight: Participate in the selection and evaluation of the CEO and senior executives.
• Stakeholder accountability: Ensure management engages stakeholders in alignment with the company’s stated purpose.
Cybersecurity, Technology and Digital Oversight (Option 2)
• Cybersecurity and risk management: Provide oversight to ensure protection against cyber threats and data breaches.
• Digital transformation: Guide the organisation through implementation of new technologies and systems modernisation.
• Technology oversight: Advise on selection, implementation and management of technology infrastructure and systems.
• Regulatory compliance: Ensure adherence to data protection, privacy and IT regulatory requirements.
• IT budget and resources: Provide guidance on budgeting and staffing to ensure alignment with organisational objectives.
• Emerging technologies: Offer expertise on adoption and integration of new technologies.
Education Requirements
• Degree or Master’s in Law, Business Management, Information Systems, Information Technology, Computer Science or Computer Engineering.
The following will be advantageous:
• MBA
• Digital Transformation or Digital Business specialisation
Experience Requirements
Candidates must possess at least 10 years in one of the following areas:
Option 1: Corporate Governance & Legal Expertise
• Corporate law and governance experience
• Oversight of compliance
• Advising on legal implications of business decisions
• Risk management
• Ensuring adherence to company by-laws
• Protecting shareholder interests
and/or
Option 2: Senior IT Leadership
• IT governance and cybersecurity oversight
• Digital transformation leadership
• Exposure to emerging technologies
• Relationships with government, parastatals and development agencies
Certification (Advantageous)
• ACAMS
• COBIT
• CRISC
Knowledge & Skills
• Advanced BI development (Power BI, Tableau, etc.), data modelling and query building
• Deep understanding of data architecture, governance and enterprise reporting frameworks
• Strong analytical and quantitative skills with attention to detail
• Excellent communication and presentation skills for non-technical audiences
• Leadership and mentoring ability
• Strong stakeholder management skills
• Solid grounding in statistical analysis and data storytelling
